Welcome to Spark the Village EDU.

These Terms of Use (“Terms”) govern your access to and use of the Spark the Village EDU LLC (“Spark the Village EDU,” “Spark,” “we,” “us,” or “our”) website, educational resources, digital products, downloads, professional learning materials, presentations, graphics, consulting resources, and other content or services made available by Spark.

By accessing or using our website, downloading or purchasing our resources, or otherwise using Spark content or services, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or materials.

1. About Spark the Village EDU

Spark the Village EDU LLC provides educational resources, professional learning, K–12 technology consulting, speaking and collaboration services, and educational and technology-related content.

Our services and resources may include:

• Classroom and instructional resources

• Curriculum and instructional materials

• Teachers Pay Teachers (“TPT”) products

• Digital downloads and printable resources

• Presentations and slide decks

• Professional development and training materials

• Technology guides and documentation

• Templates, worksheets, checklists, and planning tools

• Graphics, illustrations, logos, and branded materials

• Videos, webinars, and other multimedia

• K–12 IT consulting resources

• Artificial intelligence and educational technology resources

• Cybersecurity education and awareness materials

• Speaking, conference, workshop, and training materials

• Articles, social media content, and other original content

Unless otherwise stated, these materials are owned by or licensed to Spark the Village EDU LLC.

2. Intellectual Property Rights

The content made available by Spark the Village EDU—including original text, curriculum, educational resources, graphics, designs, presentations, training materials, templates, downloads, photographs, videos, illustrations, logos, branding, website content, and other original materials—is protected by applicable intellectual property laws.

Except where otherwise stated, Spark the Village EDU LLC retains all rights, title, and interest in its original content.

Purchasing, downloading, accessing, viewing, or receiving a Spark resource does not transfer ownership of the intellectual property to you.

Instead, you receive only the limited permission to use the resource as described in these Terms or in any license accompanying that particular resource.

3. Spark the Village EDU Branding

The names and branding associated with Spark the Village EDU, including:

Spark the Village EDU
Spark the Village EDU LLC
Spark • Ignite • Inspire
Growing Together

and Spark logos, lightbulb designs, graphics, visual branding, and other source-identifying elements may be protected by trademark, copyright, or other applicable law.

You may not use Spark branding in a way that suggests that you, your business, organization, product, service, website, social media account, or resource is owned by, affiliated with, sponsored by, or endorsed by Spark the Village EDU without written permission.

Nothing in these Terms grants you ownership of or a license to use Spark trademarks or branding except as expressly authorized.

Trademark protection is specifically concerned with words, phrases, symbols, and designs that identify the source of goods or services. (USPTO)

4. Educational Resource License

Unless a product or resource states otherwise, Spark educational resources are provided under a limited, non-exclusive, non-transferable license for the purchaser's or authorized user's use.

For an individual educator purchasing a resource, this generally means that the resource is licensed for use by one individual educator.

An individual educator may generally:

• Use the resource with their own students

• Print copies for their own classroom

• Display the resource for their students

• Assign permitted digital materials to their own students

• Modify editable portions for their own instructional use when modification is permitted

• Retain the resource for their own future instructional use

Purchasing a resource does not automatically provide a school-wide, campus-wide, district-wide, department-wide, or organization-wide license.

Additional licenses or written permission may be required for broader use.

If a resource is purchased through a third-party marketplace such as TPT, additional licensing terms imposed by that marketplace or included with the individual resource may also apply.

5. You May Not Share Purchased Resources

Unless expressly permitted in writing, Spark resources may not be:

• Shared with another teacher or colleague

• Uploaded to a shared staff drive for unrestricted access

• Placed in a school or district resource repository for multiple users

• Posted to a public website

• Uploaded to social media for redistribution

• Posted to an unsecured learning management system

• Emailed or otherwise distributed to individuals who have not obtained appropriate access

• Resold or redistributed

• Uploaded to another marketplace

• Offered as a free download

• Included in another product or resource collection

• Used as the basis for a competing commercial product

If another educator wants to use a Spark resource, they should obtain their own authorized copy or appropriate license.

6. Secure Classroom Use

Educators may use appropriately licensed Spark resources with their own students.

When digital resources are distributed through a learning management system, cloud platform, classroom website, or similar service, reasonable steps should be taken to restrict access to the educator's authorized students whenever practicable.

Posting a complete purchased resource publicly on the internet where anyone can download or copy it is prohibited unless Spark has specifically authorized public distribution.

7. Modification Does Not Transfer Ownership

Some Spark resources may be editable or customizable.

Permission to edit a resource does not transfer copyright or ownership.

Changing:

• Colors

• Fonts

• Wording

• Layout

• Questions

• Examples

• Images

• Page order

• File format

or otherwise modifying a Spark resource does not make the underlying Spark content the user's original work.

Modified Spark resources may not be sold, redistributed, uploaded to another marketplace, or represented as the user's original product unless Spark provides written permission.

8. Curriculum and Instructional Materials

Original Spark curriculum, lessons, instructional activities, bell ringers, assessments, worksheets, teacher guides, student materials, templates, activities, and related resources may not be copied or substantially reproduced for resale or redistribution.

You may not take substantial portions of a Spark resource and incorporate them into another product offered for sale or public distribution.

This restriction applies regardless of whether the new product is distributed for free or for payment unless such use is otherwise permitted by law or expressly authorized by Spark.

9. Professional Learning and Training Materials

Materials provided during Spark professional learning, workshops, webinars, conferences, consulting engagements, or presentations remain the intellectual property of Spark the Village EDU LLC unless a written agreement states otherwise.

This may include:

• Slide presentations

• Participant guides

• Training manuals

• Handouts

• Templates

• Activities

• Frameworks

• Graphics

• Worksheets

• Facilitator materials

• Videos and recordings

• Technology documentation

Participants may use materials for their own professional learning and other uses expressly authorized by Spark.

Unless permission is granted, participants may not take Spark training materials and use them to conduct their own paid training, reproduce a Spark presentation as their own, sell the materials, or distribute substantial portions of the training to others.

10. Speaking and Conference Materials

Slides, handouts, graphics, frameworks, presentation materials, and other content created by Spark for conferences, webinars, podcasts, workshops, or speaking engagements remain Spark intellectual property unless otherwise agreed in writing.

Event organizers may use Spark-provided promotional materials for promoting the applicable event.

Event participation does not automatically give an organizer or attendee the right to reproduce, sell, publish, record, livestream, or redistribute a complete Spark presentation.

Recording or redistribution rights should be established separately when applicable.

11. K–12 IT Consulting Materials

Reports, recommendations, documentation, workflows, templates, diagrams, planning resources, training materials, or other deliverables created during a consulting engagement may be subject to a separate written consulting agreement.

Where a separate agreement exists, that agreement controls in the event of a conflict with these general Terms.

Spark may provide clients with appropriate internal-use rights to consulting deliverables while retaining ownership of Spark's pre-existing methodologies, templates, frameworks, tools, processes, and other intellectual property.

12. Artificial Intelligence and Spark Content

Unless expressly authorized in writing, Spark content may not be systematically collected, scraped, copied, or uploaded for the purpose of:

• Training an artificial intelligence model

• Building a commercial AI dataset

• Creating a competing educational content library

• Mass-generating derivative commercial products

• Replicating substantial portions of Spark's resource collection

This provision does not prohibit ordinary lawful use of AI tools with appropriately licensed materials for personal instructional or professional purposes where the content is not being redistributed, used to train a model, or used to create a competing commercial product.

13. Graphics and Digital Assets

Spark graphics, illustrations, logos, icons, branded images, page designs, visual templates, and other digital assets may not be extracted from Spark products or websites and used independently unless specifically licensed for that purpose.

For example, purchasing a classroom resource containing a Spark graphic does not grant permission to remove that graphic and use it in another product, logo, advertisement, website, or commercial resource.

14. Third-Party Content

Some Spark resources or website content may incorporate or reference third-party products, platforms, trademarks, links, resources, fonts, graphics, or other materials.

Ownership of third-party intellectual property remains with the applicable owner.

References to third-party companies, products, platforms, or services do not necessarily indicate sponsorship, affiliation, or endorsement.

Third-party services may also have their own terms, licenses, and privacy policies.

15. Teachers Pay Teachers and Other Marketplaces

Spark may sell resources through Teachers Pay Teachers or other third-party marketplaces.

Purchases made through those platforms may also be subject to the marketplace's terms, licenses, refund policies, and other rules.

Where marketplace-specific licensing terms apply to a transaction, users must comply with those requirements in addition to applicable Spark product terms.

16. Purchases and Payments

Prices, payment terms, refunds, cancellations, and fulfillment conditions may vary depending on the product or service purchased.

Third-party marketplaces and payment processors may establish their own transaction policies.

Consulting, speaking, professional learning, custom resource development, or other contracted services may be governed by separate proposals, contracts, statements of work, or service agreements.

Those agreements will control where they conflict with these general Terms.

17. Refunds for Digital Products

Because digital products can generally be accessed or downloaded immediately, purchases of digital products may be non-refundable except where required by law or where the applicable marketplace provides otherwise.

Any marketplace purchase remains subject to that marketplace's applicable refund policies.

For services, cancellation and refund terms may be established in the applicable proposal, booking agreement, contract, or statement of work.

18. Educational and Technology Disclaimer

Spark resources and services are intended to provide educational, informational, and professional support.

They do not constitute legal, financial, medical, cybersecurity insurance, or other regulated professional advice.

Technology, cybersecurity, artificial intelligence, educational technology, laws, regulations, vendor products, and best practices change over time.

Users and organizations remain responsible for evaluating whether particular recommendations, resources, technologies, or practices are appropriate for their own circumstances.

School districts and educational organizations remain responsible for complying with applicable laws, policies, contractual requirements, student privacy requirements, accessibility requirements, cybersecurity requirements, and organizational procedures.

19. No Guarantee of Results

Spark strives to provide practical, useful, and accurate resources and services.

However, we do not guarantee any particular educational, professional, financial, technology, cybersecurity, operational, or other outcome from using our resources or services.

Individual results depend on numerous circumstances outside Spark's control.

20. Testimonials, Reviews, and Success Stories

Spark may share genuine reviews, testimonials, feedback, or success stories from customers, educators, organizations, or clients when appropriate.

Testimonials reflect the experience or opinion of the individual or organization providing them and do not guarantee that another user will achieve identical results.

Where required, material relationships or incentives associated with an endorsement will be disclosed.

This is worth including because FTC guidance requires endorsements to be truthful and not misleading, and material relationships that could affect how an audience evaluates an endorsement should be clearly disclosed. (Federal Trade Commission)

Spark will not knowingly create, purchase, or present fake or false reviews or testimonials. The FTC's Consumer Reviews and Testimonials Rule has been effective since October 21, 2024 and addresses deceptive practices involving reviews and testimonials. (Federal Trade Commission)

21. Affiliate Links and Sponsored Content

Spark may occasionally recommend products, services, technology tools, educational resources, or other third-party offerings.

If Spark receives compensation, commissions, free products, discounts, or another material benefit connected to a recommendation, an appropriate disclosure will be provided where required.

Any affiliate or sponsored relationship does not change our commitment to providing genuine opinions and experiences.

FTC guidance recommends that affiliate and other material relationships be disclosed clearly and conspicuously near the applicable recommendation rather than relying solely on a general disclosure page. (Federal Trade Commission)

22. Acceptable Use of the Website

You agree not to use the Spark website or services to:

• Violate applicable law

• Infringe intellectual property rights

• Attempt unauthorized access to systems or accounts

• Introduce malware or malicious code

• Interfere with website operation

• Scrape or systematically extract protected content for unauthorized commercial use

• Impersonate Spark or another person

• Misrepresent an affiliation with Spark

• Engage in fraud or deceptive activity

• Circumvent technological or access controls protecting Spark resources

We reserve the right to restrict access when reasonably necessary to protect Spark, its customers, users, systems, or intellectual property.

23. Copyright Concerns

Spark the Village EDU respects the intellectual property rights of others.

If you believe material appearing on a Spark-controlled website infringes your copyright, please contact us with enough information for us to identify and evaluate the material.

24. Unauthorized Use of Spark Content

If you become aware that a Spark product, resource, presentation, graphic, logo, or other protected material is being sold, shared, reproduced, or distributed without authorization, please contact:

Spark reserves all rights and remedies available under applicable law regarding unauthorized use of its intellectual property.

25. External Links

Spark websites and materials may contain links to third-party websites or services.

These links are provided for convenience or informational purposes.

Spark does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites.

Use of third-party services is at the user's discretion and subject to the applicable provider's terms.

26. Limitation of Liability

To the fullest extent permitted by applicable law, Spark the Village EDU LLC and its owners, employees, contractors, or representatives will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising from use of or inability to use Spark's website, content, resources, products, or services.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

27. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Spark the Village EDU LLC and its owners, employees, contractors, and representatives from claims, damages, liabilities, losses, or reasonable expenses arising from your unlawful use of Spark materials, violation of these Terms, or infringement of another party's rights.

28. Changes to These Terms

Spark may update these Terms periodically to reflect changes in our services, products, business practices, technology, or legal requirements.

The Last Updated date at the top of this page will identify the most recent revision.

Continued use of the website or services after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.

29. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable federal law or another mandatory law controls.

Separate contracts for consulting, speaking, professional learning, or other services may contain their own governing-law, venue, dispute-resolution, or other provisions.

30. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

31. Entire Agreement

These Terms, together with the Spark Privacy Policy and any applicable product license, purchase terms, contract, proposal, statement of work, or other written agreement, constitute the applicable agreement regarding use of Spark content and services.

When a separate written agreement expressly conflicts with these general Terms, the separate agreement will control for the applicable transaction or service.
